If you do not agree to these terms, or do not meet these requirements, please do not use our Site.

The content provided on this Site, including but not limited to articles within The CareBridge Journal, industry benchmarks, and service descriptions, is for general informational and educational purposes only. 4. Client Engagements

Any operational, consulting, or auditing services provided by The CareBridge Group, LLC are governed by separate, mutually executed Master Services Agreements (MSAs) or Statements of Work (SOWs). These Terms of Use govern digital access to the Site and do not supersede any formal consulting contracts.

5. Account Registration and Security

If you are granted access to a secure client portal via the Site, you may be required to register for an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security. The CareBridge Group will not be liable for any loss or damage arising from your failure to protect your login information.

6. Prohibited Conduct and Acceptable Use

As a condition of your use of the Site, you agree not to use the Site for any unlawful purpose or in any way that violates these Terms. You are strictly prohibited from:

• Attempting to hack, disable, overburden, or impair the proper working of the Site.
• Uploading or transmitting viruses, malware, or other malicious code through any client portal or form.
• Using automated scripts, bots, or scrapers to harvest data or proprietary frameworks from the Site.
• Uploading confidential documentation to the client portal that you do not have the legal right or authorization to share.

We assume no responsibility for the content, privacy policies, or practices of any third-party websites. 8. Limitation of Liability & Service Availability

While we strive to ensure the Site and client portals are reliably available, we do not guarantee 100% uninterrupted access and are not liable for scheduled maintenance downtime or unexpected outages. To the maximum extent permitted by applicable law, The CareBridge Group, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the Site; or (b) any reliance on the content provided on the Site.

You agree to defend, indemnify, and hold harmless The CareBridge Group, LLC, its officers, directors, employees, and agents, from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms of Use or your use of the Site.

10. Termination

We reserve the right, in our sole discretion, to terminate or restrict your access to all or part of the Site, including any client portals, without notice or liability, for any reason, including but not limited to your breach of these Terms of Use.

11. Governing Law & Severability

These Terms of Use shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles. Any legal action or proceeding arising under these terms will be brought exclusively in the federal or state courts located in Seminole County, Florida. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

12. Modifications

The CareBridge Group reserves the right to modify or replace these Terms of Use at any time. Any changes will be effective immediately upon posting to the Site, and the "Effective Date" at the top will be updated. Your continued use of the Site following the posting of any changes constitutes acceptance of those changes.
